Terms of Service

1. Scope of Services
IC Breakout provides electronics contract manufacturing, prototyping, PCB assembly, and engineering design support services. The specific scope, deliverables, and timelines of any individual project are defined entirely by the accepted project quotation or formal statement of work. Any requests outside of the accepted scope may be subject to additional fees and extended timelines.
2. Customer Responsibilities
To ensure the timely and accurate completion of projects, the Customer is responsible for providing complete, clean, and accurate project files.
- Bill of Materials (BOM): The Customer must ensure the BOM is fully accurate, including precise manufacturer part numbers (MPNs), quantities, and approved alternatives. We are not responsible for delays or defects caused by inaccurate or obsolete BOM data.
- Design Files: The Customer must provide valid design files (Gerbers, ODB++, Pick and Place data, STEP files, etc.) matching the requested revision.
- Responses: Timely responses to engineering queries (such as part shortages or DFM issues) are required to keep the project on schedule.
3. Quotes & Pricing
All quotes provided by IC Breakout are valid for 30 days from the date of issuance unless otherwise specified. Pricing is based on the information provided by the Customer at the time of the quote. If the design files or BOM change after the quote is accepted, IC Breakout reserves the right to adjust the pricing accordingly. Component pricing is subject to market volatility; in the event of significant price increases for critical components, the Customer will be notified prior to procurement.
4. Lead Times
Estimated lead times are provided in good faith and begin only when all necessary materials (including components and PCBs) have arrived at our facility, and all engineering questions have been resolved. Lead times are estimates and are not guaranteed unless explicitly stated in a formalized, expedited service contract. IC Breakout is not liable for delays caused by global supply chain shortages, shipping carrier delays, or customs holds.
5. Intellectual Property (IP) Ownership
The Customer retains full ownership of all their intellectual property. Any schematics, board layouts, firmware, mechanical designs, and data provided to IC Breakout remain the sole property of the Customer. IC Breakout will use these materials strictly for the purpose of manufacturing and evaluating the Customer's project. We do not claim ownership over your designs, nor will we share your proprietary information with unauthorized third parties.
6. Payment Terms
Payment terms will be established on the project quotation or invoice. Usually, a deposit covering the cost of components and fabrication is required prior to the start of procurement, with the remaining balance due upon project completion or net-30 days for approved accounts. IC Breakout reserves the right to withhold shipment of finished goods until payment clears.
7. Cancellation Policy
Projects may be canceled by the Customer prior to the start of manufacturing; however, the Customer is responsible for all costs incurred up to the point of cancellation. This includes the cost of non-returnable components, restocking fees, fabricated bare boards, and engineering time already spent. Once assembly has commenced, projects typically cannot be canceled.
8. Liability Limitations
IC Breakout guarantees that assembly will conform to the provided documentation and standard industry practices (e.g., IPC-A-610) given the constraints of the provided materials. However, IC Breakout does not guarantee the underlying functional performance, design efficacy, or marketability of the Customer's product. In no event shall IC Breakout's liability exceed the total amount paid by the Customer for the specific manufacturing run in question. IC Breakout is not liable for indirect, incidental, or consequential damages, including lost profits or lost market opportunities.
